Terms of Service

These Terms of Service govern your access to and use of this website. They work alongside our Privacy Policy, and they do not replace any separate signed agreement you may have with us for products or services.

Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of this website and the information, materials, and features made available through it (the "Site"), which is operated by Adaptive IP Services, Inc. ("Adaptive IP," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, please do not use the Site.

These Terms govern your use of the Site only. They do not replace or modify any separate written agreement between you and Adaptive IP for products or services — such as a quotation, order, statement of work, or Master Services Agreement. If anything in these Terms conflicts with a signed agreement covering a specific engagement, that signed agreement controls for that engagement.

Sections 4, 5, and 6 describe Adaptive IP's general practices for quotes, products, and services and apply only to the extent they are not addressed by a signed agreement; they do not by themselves create a contract for the purchase of any product or service, and any actual purchase is governed solely by the applicable signed quotation, order, statement of work, or Master Services Agreement.

Use of the Site

You may use the Site for lawful, legitimate business purposes and to learn about and request our products and services. You agree not to:

  • use the Site in any way that violates applicable law or these Terms, or for any fraudulent or unlawful purpose;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • attempt to gain unauthorized access to the Site, its servers, or any connected system or network, or probe, scan, or test the vulnerability of the Site or breach any security or authentication measure;
  • interfere with or disrupt the Site's operation or security, or impose an unreasonable or disproportionately large load on our infrastructure;
  • introduce malware or any harmful code, or use any automated means (such as scraping, harvesting, or bots) to access or collect data from the Site except as permitted by our published instructions;
  • collect or harvest information about other users, or upload or transmit any content that is unlawful, infringing, defamatory, or harmful, or that violates the rights of others;
  • reverse engineer or attempt to derive the source code of any part of the Site, except to the extent permitted by law;
  • copy, reproduce, republish, or redistribute Site content except as expressly permitted in these Terms.

The Site is intended for businesses and for individuals who are at least 18 years old. It is not directed to children.

Intellectual Property

The Site and its content — including text, graphics, logos, images, layouts, and software — are owned by Adaptive IP or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your internal, informational, and business-evaluation purposes. No other right or license is granted. You may not use our names, logos, or trademarks without our prior written permission. All rights not expressly granted are reserved.

Quotes, Orders, and Payment

Pricing, quotations, and proposals we provide are valid only through the expiration date stated on the quotation (and otherwise for 30 days from the date issued), and are subject to the specific terms set out on that document. Unless a signed agreement states otherwise:

  • Invoices are due Net 30 from the invoice date.
  • Payments made by credit card may be subject to a credit-card convenience fee; to avoid the fee, you may remit by ACH, check, or wire without surcharge.
  • Past-due balances may be subject to a late charge as permitted by applicable law.
  • Where a purchase order is required by your business, it must be issued and attached; where your internal practice does not require a purchase order, a signed quotation serves as authorization to proceed.

Orders and remittance are made payable to Adaptive IP Services, Inc. These website Terms do not themselves constitute an offer, quotation, or commitment to provide products or services on any particular terms.

Products, Software, and Licensing

Where we sell hardware or equipment, unless a signed agreement states otherwise, all sales are made FOB Origin; title and risk of loss pass to you upon delivery to the carrier at Origin. Software, firmware, and cloud services provided with the products we quote are licensed, not sold, and are subject to the applicable manufacturer's and Adaptive IP's end-user license terms. You acknowledge that use of any managed platform and embedded or provisioned software is governed by those license terms, that licenses are non-transferable except as expressly permitted, and that no title to any licensed software passes to you.

Services and Engagements

Managed and professional services — including managed IT, cybersecurity (MSSP) monitoring, hosting, signage, and consulting — are delivered under Adaptive IP's Master Services Agreement or the applicable customer agreement and statement of work. Where services include a recurring subscription (such as MSSP monitoring or a managed signage platform), the subscription begins at service go-live and renews on its stated cycle until cancelled in accordance with the governing agreement; any one-time onboarding charge is invoiced at the start of the engagement. The governing service agreement, not these Terms, defines the scope, service levels, warranties, and obligations for a given engagement.

Third-Party Sites and Services

The Site may link to or integrate with websites and services we do not operate, such as our client portal or third-party vendor tools. We provide these for convenience and are not responsible for their content, availability, or privacy and security practices. Your use of a third-party site or service is governed by that party's terms.

Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that information on the Site is complete, current, or accurate. This Section applies to the Site only and does not limit, replace, or waive any warranty expressly provided in a signed agreement for products or services.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ADAPTIVE IP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE AND THESE TERMS WILL NOT EXCEED ONE THOUSAND U.S. DOLLARS (US$1,000).

This Section applies only to claims arising from your use of the Site itself. Liability arising from a specific engagement, product, or service is governed exclusively by the applicable signed agreement, not by this Section, and the limitations in this Section do not apply to and do not reduce any liability or remedy provided under a signed agreement. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Adaptive IP and its officers, directors, employees, and agents from and against any third-party claims, and any resulting losses, liabilities, damages, and expenses (including reasonable attorneys' fees), arising out of your misuse of the Site, your violation of these Terms, or your violation of applicable law. Adaptive IP will provide reasonable notice of any such claim, and may participate in its defense with counsel of its choosing at its own expense. This Section survives termination of your access to the Site.

Suspension and Termination

We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, including if we believe you have violated these Terms. We may also modify, suspend, or discontinue the Site or any part of it at any time.

Governing Law and Jury-Trial Waiver

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. You agree that the exclusive venue for any dispute arising out of or relating to the Site or these Terms will be the state or federal courts located in the State of Texas, and you consent to their jurisdiction. Nothing in this Section affects the dispute-resolution provisions of a signed agreement for products or services, which continue to govern that engagement.

TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS.

General

If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining Terms will remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign or transfer these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement between you and Adaptive IP regarding your use of the Site, and do not modify any signed agreement governing products or services. Sections 3, 8, 9, 10, and 11 survive termination of your access to the Site.

You consent to receive communications and notices from us electronically, including by posting on the Site or by email, and you agree that electronic communications satisfy any legal requirement that such communications be in writing.

You represent that you are not located in, and will not use the Site on behalf of anyone located in, a country or region subject to U.S. embargo, and that you are not on any U.S. government restricted-party or sanctions list.

If you provide us feedback or suggestions about the Site or our products or services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

Changes to These Terms

We may update these Terms from time to time. All updates will be posted on this page with a revised effective date, and your continued use of the Site after an update means you accept the revised Terms.
